Professional Service Agreement
Welcome to IntelliLeelah. These Terms of Service ("Terms") constitute a legal agreement between you ("Client," "you," or "your") and IntelliLeelah ("Company," "we," "our," or "us"). These Terms govern your access to and use of our AI annotation services, expert network, and related professional services. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

AI & ML Services
IntelliLeelah provides AI annotation, data labeling, model training, validation services, and related human intelligence solutions to help clients develop and improve their artificial intelligence systems.
Expert Network
Our services include access to our global network of 500+ vetted experts, including data annotators, linguists, subject matter experts, and technical specialists.
Custom Solutions
We offer customized solutions tailored to client needs, including project management, quality assurance, and scalable team assembly for various AI development requirements.
Service Availability
While we strive for 99.9% uptime, we do not guarantee uninterrupted access to our services. We may perform maintenance, updates, or modifications that temporarily affect service availability.
Client Responsibilities and Obligations
Data Provision
You are responsible for ensuring that any data you provide for our services is accurate, legally obtained, and that you have all necessary rights and permissions for its use and processing.
Compliance
You must comply with all applicable laws and regulations when using our services, including data protection laws, export controls, and industry-specific regulations.
Account Security
You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
Payment Obligations
You agree to pay all fees according to the agreed payment terms. Late payments may incur additional charges and may result in suspension of services.
Intellectual Property Rights
Client Data Ownership
You retain all ownership rights to your data and content. We do not claim ownership of any data you provide for processing through our services.
Service Improvements
We may use aggregated, anonymized data derived from our services to improve our offerings, develop new features, and conduct research, provided such use does not compromise client confidentiality.
Platform Rights
IntelliLeelah retains all rights to our platform, methodologies, processes, and any improvements or derivatives developed in the course of providing services.
Third-Party Content
Our services may incorporate third-party tools or content. Your use of such content is subject to the respective third-party terms and conditions.
Confidentiality and Data Protection
Non-Disclosure
We maintain strict confidentiality regarding all client information and project data. All team members and contractors sign comprehensive non-disclosure agreements.
Data Security
We implement industry-standard security measures including encryption, access controls, and regular security audits to protect your data from unauthorized access or disclosure.
Data Retention
We retain project data only as long as necessary to provide services and meet legal obligations. Standard retention period is 90 days post-project completion unless otherwise agreed.

Given our global expert network, data may be processed in various jurisdictions. We ensure appropriate safeguards are in place for all international data transfers.
Service Level Agreements
Quality Standards
We maintain 99.8% accuracy rates across our annotation services and provide detailed quality reports. We offer revision services for work that does not meet agreed quality standards.
Delivery Timelines
Project timelines are established during project scoping and confirmed in writing. We strive to meet all agreed deadlines and will communicate promptly if delays are anticipated.
Scalability
We can typically scale teams from 10 to 100+ experts within 48-72 hours for urgent projects, subject to expert availability and project complexity.
Support Availability
Our project management team provides support during business hours (9 AM - 6 PM EST, Monday-Friday) with 24-hour response times for urgent issues.
Limitations of Liability
Service Limitations
Our services are provided 'as is' without warranty. We do not guarantee specific business outcomes or results from using our services.
Liability Cap
Our total liability for any claims related to our services is limited to the amount paid by you for the specific services in question during the 12 months preceding the claim.
Consequential Damages
We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, business interruption, or loss of data.
Force Majeure
We are not liable for any delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.
Termination and Suspension
Termination Rights
Either party may terminate services with 30 days written notice. We may terminate immediately for breach of these terms or non-payment of fees.
Data Return
Upon termination, we will return or securely destroy your data as requested, subject to legal retention requirements and payment of outstanding fees.
Survival
Confidentiality, intellectual property, limitation of liability, and dispute resolution provisions survive termination of our agreement.
Governing Law and Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
